1. Acceptance of Use
By enrolling in, accessing, or using the [eHoldings Intelligence] ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not subscribe to or use the Service. These Terms constitute a legally binding agreement between you ("Subscriber," "you," or "your") and [eHoldings Inc.] ("Company," "we," "us," or "our").
2. Description of Service
The Service provides a paid membership granting exclusive access to our portfolio's operational insights and global market research as it pertains to our alternative strategy.
What You Receive:
Members can expect notifications on an opportunistic basis as market conditions warrant. During extended periods where no changes to our portfolio are warranted, there may be intervals of several weeks or more without new insights; this reflects disciplined patience rather than a lapse in service.

Access to subscriber-only sections of our website/portfolio metrics
Nature of Service:
The Content is for informational purposes only. It does not constitute investment advice, recommendations to buy or sell any security, or personalized financial planning. You remain solely responsible for your investment decisions.

3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to enroll. You must be an accredited investor with the sophistication & experience to bear risks of investing & understand financial markets. By enrolling, you represent that you have the financial means to afford the subscription fee and the risk capital to invest in securities if you choose to do so. The Service is available only to residents of jurisdictions where such offerings are legal.
4. Payment Terms
Membership Fees: You agree to pay all fees specified at the time of purchase. Fees are only refundable within 60 days of your purchase/renewal date.
Billing:
To enroll, you agree to pay the membership fee of $4299 USD per annum.
Price Changes: We reserve the right to adjust pricing. Any price changes will take effect at the next renewal period, and we will provide [X days] advance notice.
5. Refund Policy
Annual membership fees are eligible for a full refund within the first 60 days of enrollment.
How to Request a Refund: To initiate a refund, contact us at mike@e-holdings.com with your account information and reason for cancellation. Refunds will be processed within 30 business days to the original payment method.
Limitations:
Refunds are limited to one per customer/household and at discretion of eHoldings Inc.
The Refund Period expires after 60 days of purchase date. Fees are non-refundable beyond 60 days unless there was an error in billing or charges applied.
Partial refunds for mid-period cancellations are not provided unless required by law.
6. Account Registration and Security
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your password and for all activities under your account. Notify us immediately of any unauthorized use. We reserve the right to disable accounts with false information or shared credentials (see Section 8)
7. Intellectual Property
All Content, including positions, analysis, charts, reports, and methodology, is the exclusive property of the Company and protected by copyright and other intellectual property laws.
License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal, non-commercial use only.
Restrictions: You may not:
Share your login credentials with non-subscribers
Republish, distribute, or sell our Content without written permission
Use our Content to create a competing product or service
Screen-scrape, data-mine, or systematically collect our Content
Forward newsletter emails to non-subscribers (beyond reasonable personal sharing)
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
8. Prohibited Conduct
You agree not to:
Use the Service for illegal purposes
Attempt to gain unauthorized access to our systems or other users' accounts
Share your subscription with others (account sharing is prohibited; one account per subscriber)
Reproduce, duplicate, copy, sell, or exploit any portion of the Service without express written permission
Use automated systems (bots, scrapers) to access the Service
Harass, abuse, or harm other subscribers or our staff
Violation may result in immediate termination without refund.
9. Termination
By You: You may cancel your subscription at any time through your account settings or by contacting mike@e-holdings.com. Cancellation takes effect at the end of the current billing cycle.
By Us: We may suspend or terminate your access immediately, without prior notice, for conduct that violates these Terms, is harmful to other subscribers or us, or for non-payment. In cases of termination for cause (violations of Sections 7 or 8), no refund will be issued.
Effect of Termination: Upon termination, your right to access the Service ceases immediately. Provisions regarding Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification survive termination.
10. Disclaimer of Warranties (General)
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
The Service will be uninterrupted, timely, secure, or error-free
The Content is accurate, reliable, current, or complete
The Service is free of viruses or other harmful components
Any particular investment result will be achieved following our insights
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE [12 MONTHS] IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12. Indemnification
You agree to indemnify and hold harmless the Company and its representatives from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to:
Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your investment decisions based on our Content.
14. Governing Law & Dispute Resolution
13.1 - GOVERNING LAW
These Terms shall be governed by, and construed in accordance with, the laws of the Province of Ontario, Canada, without regard to its conflict‑of‑law principles.
13.2 - DISPUTE RESOLUTION
Any dispute, claim or controversy arising out of or relating to these Terms shall be resolved by binding arbitration administered by the ADR Institute of Canada (ADR‑IC) under its Rules for Arbitration (the “Rules”), with the seat of arbitration in Toronto, Ontario, Canada, and the proceedings conducted in English.
If either party elects to seek injunctive or other interim relief, or if a party elects to bring a claim in a court of competent jurisdiction, that party may commence litigation in the Superior Court of Justice of the Province of Ontario, Canada. The arbitration award may be entered and enforced in any court of competent jurisdiction.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on our website at least [15-30] days before taking effect. Continued use of the Service after changes constitutes acceptance.
15. Severability & Entire Agreement
If any provision is unenforceable, the remaining provisions remain in effect. These Terms, together with our Privacy Policy and Risk Disclosure, constitute the entire agreement between you and the Company regarding the Service.
